An extra $142 million could be paid in an earn-out agreement. The business generated an EBITDA of 65 million Malaysian ringgit ($A21 million) in the June 30 year.

The deal was announced alongside its full year profit which showed a 12.5 per cent fall in underlying net profit to $165 million and earnings before interest and tax of $262 million, an increase of 19 per cent.

Its global food sales reached a record $3.9 billion in the full year and online sales accounted for just over $3 billion. A dividend of 68 cents a share, franked to 70 per cent.

Domino’s said the Asia deal would further cement its position in Asia. It has previously made investments in Japan and Taiwan and has a strong presence in Europe.

Managing director Don Meij said the acquisition demonstrated the value of the company’s twin focus on Europe and the Asia Pacific.

He said Domino’s was number two in the three markets, behind Pizza Hut, but Meij said the company had never entered a market as number one.

The three territories comprise 287 corporate-owned stores. In total, Malaysia had 240 stores, there were 38 in Singapore and nine in Cambodia, but Domino’s had assessed the long-term market potential was for more than 600 stores.

“As a result of this acquisition Domino’s is increasing its future store count outlook in Asia from 2400 stores to 3000 stores by 2033,” the company said.

“DPE’s serviceable market in the APAC region is now 30 per cent larger at 234 million.”
